Terms of service

Introduction & acceptance
These Terms of Service (“Terms”) are a binding agreement between you (the merchant, and if applicable your organisation) and DealGift (“we”, “us”, “our”) regarding the DealGift Shopify application, https://dealgift.app, and related services (together, the “Service”).
By installing, accessing, or using the Service, or by clicking to accept these Terms where offered, you confirm that you agree to these Terms. If you do not agree, do not install or use the Service.
Where you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Description of the Service
DealGift is a Shopify app that helps merchants configure and run gift and promotional deals on the storefront—such as rules based on cart value or products, optional buyer consent flows, alignment of cart lines with offers, and checkout-related discount behaviour consistent with Shopify’s platform. Features, limits, and availability may depend on your Shopify plan and our current product offering.
The Service may be updated, extended, or reconfigured over time. We do not guarantee that any particular feature will remain available in the same form. Unless required by law or a separate written agreement with you, the Service is offered on an “as is” and “as available” basis.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to enter into these Terms. You must have a valid Shopify store and the authority to connect apps and incur any applicable charges on behalf of the merchant business. You must comply with Shopify’s applicable terms, policies, and Acceptable Use Policy as they relate to your store and apps.
Account registration & security
Access to the Service is typically provided through Shopify’s installation and authentication mechanisms. You are responsible for all activity under your store and admin credentials, for maintaining the security of those credentials, and for ensuring that anyone who uses the Service on your behalf is authorised to do so. You must notify us promptly at hello@dealgift.app if you suspect unauthorised access.
We may suspend or restrict access to the Service if we reasonably believe there is a security risk, abuse, or breach of these Terms or applicable law, or if required by Shopify or competent authorities.
Licence & permitted use
Subject to these Terms and your payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Service solely in connection with the Shopify store(s) you are authorised to operate, and in accordance with Shopify’s rules and documentation.
You must not, and must not permit others to: (a) copy, modify, or create derivative works of the Service except as allowed by law; (b) reverse engineer, decompile, or attempt to extract source code except where strictly permitted by law; (c) resell, sublicense, or lease access to the Service; (d) use the Service for any unlawful purpose, to infringe third-party rights, or in a way that could harm other merchants, shoppers, or infrastructure; (e) probe, scan, or test the vulnerability of our systems without written consent; or (f) circumvent technical limits or billing controls.
Fees & payment
If you subscribe to a paid plan, fees are charged through Shopify’s billing mechanisms as shown in the Shopify admin and/or app listing. Pricing, billing cycle, taxes, trials (if any), and currency may be described there and may change in line with that flow and applicable law. You are responsible for all fees shown by Shopify at purchase or renewal. Failure to pay undisputed fees may result in suspension or termination of access to paid features or the Service.
We may change our prices or introduce new fees with reasonable advance notice where required by Shopify or applicable law; continued use after the effective date may constitute acceptance of the new fees.
Intellectual property
As between you and us, DealGift and its licensors own all right, title, and interest in the Service (including software, branding, documentation, and marketing materials), excluding your own store data and content.
You retain ownership of your product listings, branding, and other materials you provide or display through your store. You grant us a limited licence to host, process, and use information you submit only as needed to provide, secure, and improve the Service and as described in our Privacy policy.
Data ownership & privacy
You retain ownership of your merchant data and customer-facing content. We process personal and business information only as described in our Privacy policy, to provide and support the Service, comply with law, and pursue legitimate interests compatible with UK GDPR and related UK data protection rules.
Your use of the Service is also subject to the Privacy policy, which explains how we collect, use, store, and share data. If you offer deals to consumers in the UK, EEA, or elsewhere, you may have separate obligations as a controller; you are responsible for your own compliance.
Acceptable use
You agree not to misuse the Service. Without limitation, you must not: use the Service to violate law or third-party rights; distribute malware or harmful code; send unlawful or misleading promotions; interfere with or overload the Service or Shopify’s systems; scrape or harvest data from the Service except as permitted; use the Service to compete with us through unauthorised mirroring of our product; or assist others in doing any of the above.
We may investigate violations and cooperate with Shopify, law enforcement, or regulators as appropriate.
Termination
You may stop using the Service by uninstalling DealGift from your Shopify store in accordance with Shopify’s processes. Uninstalling may remove app extensions and cease future processing subject to our Privacy policy and legal retention requirements.
We may suspend or terminate your access to the Service (in whole or in part) if you materially breach these Terms, if we are required to do so by law or Shopify, or if we discontinue the Service with reasonable notice where practicable. Upon termination, your right to use the Service ceases except as necessary for winding down or where sections are stated to survive.
Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and general provisions) survive termination.
Warranties & disclaimers
To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”. We disclaim all warranties and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except any that cannot legally be excluded.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that promotions you configure will achieve any particular commercial outcome.
Limitation of liability
To the maximum extent permitted by law, DealGift and its directors, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising from or related to the Service or these Terms, even if advised of the possibility.
Subject to the previous paragraph, our aggregate liability for all claims arising out of or related to the Service or these Terms (whether in contract, tort, or otherwise) is limited to the greater of: (a) the amount you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim; or (b) one hundred British pounds (£100), if you have not paid fees in that period. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including death or personal injury caused by negligence, fraud, or other mandatory rights).
Indemnification
You will defend, indemnify, and hold harmless DealGift and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your store content, products, or promotions; (c) your breach of these Terms or Shopify’s policies; or (d) your violation of law or third-party rights. We may assume exclusive defence and control of any matter subject to indemnification, at your expense, and you will cooperate reasonably.
Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes to the Terms, we will take reasonable steps to notify you (for example by email to your store contact, in-app notice, or a notice on https://dealgift.app). Changes that must be accepted in Shopify’s flow may instead be presented there. Continued use of the Service after the effective date of changes may constitute acceptance. If you do not agree, you must stop using the Service and uninstall the app.
Governing law & jurisdiction
These Terms (and any non-contractual disputes arising from them) are governed by the laws of England and Wales. Subject to mandatory laws that cannot be contracted away, the courts of England and Wales shall have exclusive jurisdiction.
General provisions
Entire agreement. These Terms, together with the Privacy policy and any policies expressly referenced, constitute the entire agreement between you and us regarding the Service and supersede prior discussions on the same subject, unless you have a separate signed agreement with us that expressly overrides these Terms for a defined scope.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
No waiver. Failure to enforce a provision is not a waiver of our rights.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, sale of assets, or corporate reorganisation.
Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
Third-party beneficiaries. Shopify is not a party to these Terms; you continue to be bound by Shopify’s own terms for the Shopify platform.
